TERMS & CONDITIONS



These Terms and Conditions (the “Agreement”) is between The Commissioner ("The Commissioner" “we” or "us") and the FISHERS OF MEN Band/Logo User (“YOU”, “YOUR”)

RECITAL

(A) The Commissioner has created the Fishers of Men Brand for use in relation to the subject matter of this website (The Great Commission)

(B)  The Commissioner is the sole owner of the Intellectual Property Right (“IPR”) and shall remain the sole owner. The Commissioner has the right to grant licences to YOU for use.

1. DEFINITIONS

1.1 "Intellectual Property Rights (“IPR”)" means intellectual property rights in the “Fishers of Men” logo including all current and future copyrights, database rights, registered and unregistered IPR, trade marks and service marks and all applications for registered trade marks, technical information, know-how and all other proprietary rights and all other similar forms of protection anywhere in the world whether known at the date of YOUR acceptance of this Agreement or coming into effect at a later date.

1.2 “Fishers of Men Brand/Logo” means the “Fishers of Men” logo to be freely downloaded from this website.

1.3 “Trade Mark” means the “Fishers of Men” logo/brand owned by The Commissioner.

2. Grant

In consideration of £1 (One Pound) (receipt of which is hereby acknowledged) The Commissioner grants to YOU a non-exclusive licence to download free and use the IPR in accordance with terms of this Agreement.

3.       Reservation

The Commissioner reserves the right to grant licences in the IPR to third parties for use

4.       Term

This Agreement shall extend for as long as YOU use the Fishers of Men Brand/logo or until The Commissioner varies or modifies the “Fishers of Men” logo

5.     Use and protection of the Trade Mark

    1.  Copyright in the IPR shall be     protected by the addition of "The GR8 Commission” written underneath the logo whenever the IPR is used.

    3. YOU shall not use the IPR except in accordance with the design specification down loaded free from this website.
    4. YOU shall not during the subsistence of this Agreement or at any future time apply to register the IPR in YOUR name (or in the name of any company or organisation) as proprietor.
    5.  YOU recognise The Commissioner’s title in the IPR and shall not claim any right title or interest in the IPR or any part of it save as is granted by this Agreement.
    6. YOU shall promptly call to the attention of The Commissioner the use of the IPR or any part of it by any third party or any activity of any third party which might in YOUR opinion amount to infringement or passing off.

5.6   The Licence is personal to YOU and YOU shall not assign any rights granted to YOU under this Agreement or grant any sub-licence to any third party without the prior written consent of The Commissioner

6.      Action against third parties

6.1   The Commissioner shall have the sole right to take action against YOU or third parties in respect of the IPR and YOU shall co-operate fully with The Commissioner

6.2   All damages recovered from third parties shall be the exclusive property of The Commissioner 

7.     Termination

7.1   The Commissioner shall terminate this Agreement without giving YOU notice for:

7.1.1        Failure to perform any of YOUR obligations under this Licence

7.1.2                     Breach of any   provisions of this Licence

      1. This License shall terminate    with immediate effect should The Commissioner change, vary, revise its Logo. Such termination shall not affect YOUR rights to continue using the logo.

8.       Termination Consequences

8.1     Upon termination for whatever reason YOU shall immediately discontinue all and any use of the IPR. Any further use after such termination shall be at YOUR risk.

8.2     YOU shall indemnify The Commissioner  against all actions, claims, costs, damages and expenses which it may suffer or sustain as a result of the YOUR use of the IPR.

9.     No Waiver

No waiver by The Commissioner of any of YOUR obligations under this Agreement shall be deemed effective unless made by The Commissioner in writing nor shall any waiver by The Commissioner in respect of any breach be deemed to constitute a waiver of or a consent to any subsequent breach by YOU of YOUR obligations

10.  Severance

In the event that any provision of this Agreement is declared by any judicial or other competent authority to be void voidable or illegal the remaining provisions shall continue to apply unless The Commissioner decides that the effect is to defeat the original intentions of the parties in which case it shall be entitled to terminate the Agreement by 30 days notice

11.     No agency or partnership

 The parties are not partners or joint venturers, nor are YOU entitled to act as The Commissioner’s agent, nor shall The Commissioner be liable in respect of any representation act or omission made by YOU of whatever nature.

12.   Notices

Any notice to be served on either of the parties by the other shall be sent by email and shall be deemed to have been received by the addressee within 72 hours of posting

13.    Governing Law

This License shall be governed and constructed in accordance with English law

14.     Third Parties

This Agreement does not create any right enforceable by any person not a party to it.
